These Terms of Service ("Terms") govern your access to and use of TrialIntel and its related services ("Service"), operated by TrialIntel, Inc. ("TrialIntel," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
We reserve the right to update these Terms at any time. We will notify you of material changes through the application. Your continued use of the Service after notification constitutes acceptance of the updated Terms.
TrialIntel is a litigation intelligence platform that enables users to upload, organize, and analyze legal documents. The Service includes the following features depending on your subscription tier:
We reserve the right to modify, add, or remove features at any time with reasonable notice to users.
THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. TRIALINTEL IS A TECHNOLOGY TOOL, NOT A LAW FIRM.
Nothing in the Service, including AI-generated analysis, reports, cross-examination questions, contradiction flags, or any other output, constitutes legal advice, legal counsel, or representation of any kind. The AI systems underlying the Service may produce inaccurate, incomplete, or misleading results.
You are solely responsible for verifying all AI-generated outputs against the underlying source documents before relying on them for any purpose. You should consult with a licensed attorney for legal advice specific to your situation. TrialIntel is not responsible for any decisions made based on outputs from the Service.
AI-generated analysis produced by the Service is processed through Microsoft Azure OpenAI Service, a third-party cloud provider. Such AI-generated outputs may not be protected by attorney-client privilege.
Pursuant to the holding in United States v. Heppner (S.D.N.Y. 2026), communications with and outputs from AI systems operated by third-party cloud providers may not qualify for privilege protection. You are responsible for understanding the privilege implications of using AI-assisted tools in your litigation.
Microsoft Azure OpenAI Service operates under a Data Processing Agreement that explicitly prohibits using your data to train AI models. Professional and Firm tier subscribers may designate individual documents as "Privileged," which excludes those documents from all AI processing. You may also designate an attorney-of-record on your account. These features are provided as a convenience; they do not guarantee privilege protection and do not create an attorney-client relationship with TrialIntel.

Access to the Service requires a paid subscription after the free trial period ends:
Subscriptions are billed monthly. You may cancel your subscription at any time from within the app. Upon cancellation, you retain access to the Service until the end of your current billing period. We do not provide prorated refunds for partial billing periods, except where required by applicable law.
We reserve the right to change subscription pricing with at least 30 days advance notice to existing subscribers.
You retain all ownership rights to the documents, cases, and other content you upload to the Service ("Your Content"). These Terms do not transfer any intellectual property rights to TrialIntel.
By uploading Your Content, you grant TrialIntel a limited, non-exclusive, non-transferable license to process, store, and analyze Your Content solely to provide the Service to you. This license terminates when you delete your content or close your account.
We do not use Your Content to train AI models. We do not sell, transfer, or disclose Your Content to third parties except as described in our Privacy Policy (i.e., to the Microsoft Azure services required to operate the Service) or as required by law.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is provided on a best-effort basis. We may perform scheduled maintenance, emergency maintenance, or updates that temporarily affect availability.
TrialIntel is not liable for any damages, losses, or inconveniences resulting from service interruptions, delays, errors, or unavailability, whether planned or unplanned.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRIALINTEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF CASE OUTCOMES, LOSS OF PROFITS, OR ANY OTHER INTANGIBLE LOSSES, EVEN IF TRIALINTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL TRIALINTEL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO TRIALINTEL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations apply only to the extent permitted by applicable law.
You may close your account at any time from Settings > Delete Account within the app. Upon account deletion, your data is permanently deleted within 30 days. This process is irreversible.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if continued access would pose a risk to the Service or other users. In the event of termination for cause, you will not be entitled to a refund of any prepaid fees.
Upon any termination, your right to access the Service immediately ceases. Sections of these Terms that by their nature should survive termination (including Sections 2, 3, 6, 8, and 11) shall survive.
We may modify these Terms at any time. We will notify you of material changes through the application with reasonable advance notice. For non-material changes (such as clarifications or formatting), we may update the Terms without separate notification beyond the updated Effective Date.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the federal or state courts located in the State of Delaware. You consent to personal jurisdiction and venue in such courts.
